Agreement

These Terms of Service (the Terms) are a binding agreement between you and Sergii Iarochevskyi, an individual operating under the Seraro brand ("Seraro," "we," "us," or "our"), governing the Structor desktop application, the Structor pages in Seraro Apps Hub, account and licensing services, updates, support, and related services (together, the Services).
By downloading, installing, purchasing, accessing, or using the Services, you agree to these Terms and the Structor Privacy Policy. If you do not agree, do not use the Services. If you use Structor for an organization, you represent that you have authority to bind it; "you" then includes that organization.
You must be at least 18 or the age of legal majority where you live. A minor may use Structor only through a parent or legal guardian who accepts these Terms and is responsible for that use. Mandatory consumer rights that cannot lawfully be waived remain unaffected.
The Services
Structor helps you inspect, search, group, rename, organize, compress, de-duplicate, and otherwise manage files on supported desktop systems. Features can include local semantic indexing and OCR, previews, file watching, undo or recovery history, local AI models, user-configured AI providers, software updates, accounts, and paid desktop licenses.
Features may differ by operating system, hardware, plan, version, region, distribution channel, or configured third-party software. Local AI features may require separately installed software or downloaded models. We may improve, add, remove, or discontinue features, but will not intentionally deprive you of a paid entitlement without a remedy required by law.
Limited software license
Subject to these Terms and your valid entitlement, we grant you a limited, personal or internal-business, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use Structor on up to two personal devices, solely for lawful purposes. Structor is licensed, not sold. We and our licensors retain all rights in the application, Services, branding, documentation, and updates except for your content and third-party materials.
You may not, except where applicable law expressly permits it:
- copy, redistribute, rent, lease, sell, sublicense, or provide Structor as a hosted service;
- bypass payment, license, device, access, or security controls;
- reverse engineer, decompile, disassemble, or attempt to extract source code;
- modify Structor or create derivative works from proprietary portions;
- use Structor or its outputs to develop malware, violate another person's rights, or break the law;
- interfere with the Services, probe systems without authorization, automate abusive requests, or misrepresent purchase or device information; or
- remove legal, copyright, trademark, or attribution notices.
Open-source and third-party components are governed by their own licenses. Those licenses control if they conflict with these Terms for the relevant component.
Accounts and security
You must provide accurate account information, keep credentials and linked email accounts secure, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account and for devices you activate, except to the extent caused by our breach of duty.
We may require reauthentication, device verification, or periodic online license validation. You may not share an individual account or license beyond its permitted users or device limit. We may suspend access reasonably necessary to investigate fraud, chargebacks, security incidents, or material violations, and will restore access when the issue is resolved where appropriate.
Your files and content
You retain ownership
You retain all ownership and other rights in files, folder structures, prompts, API credentials, and other content you provide or authorize Structor to access (Your Content). These Terms do not transfer ownership of Your Content to Seraro.
You grant us a limited license to process Your Content only as needed to provide a feature you choose, secure and support the Services, comply with law, and enforce these Terms. For on-device functions, we do not receive Your Content. If you choose a remote AI or support workflow, the relevant data is transmitted as explained in the Privacy Policy.
You represent that you have the rights and permissions needed to use Your Content with Structor and with any AI endpoint you select. You are responsible for complying with confidentiality, employment, records-management, copyright, data-protection, and third-party contractual obligations.
File operations and backups
Structor can perform real operations on your filesystem, including creating folders and indexes and moving, renaming, compressing, replacing, or removing files. Results depend on your instructions, selected folders, permissions, storage availability, provider output, operating-system behavior, and other software.
Before running an operation, you are responsible for:
- maintaining a current, independently restorable backup of important files;
- reviewing available previews, proposed organization, provider and model settings, paths, filters, and permissions;
- testing workflows on non-critical copies when the result is uncertain; and
- not interrupting the app, disconnecting storage, or modifying the same files concurrently unless the app says it is safe.
Structor may provide history, undo, or temporary recovery copies for some operations. These are convenience features, not a backup service or guarantee of recovery. They can expire, be incomplete, or fail because a file was changed, deleted, locked, moved externally, corrupted, or stored on unavailable media.
To the maximum extent permitted by law, we are not responsible for file loss, corruption, misclassification, unintended moves or renames, reduced image quality, duplicate-removal mistakes, or other errors caused by incorrect use, inaccurate settings, unsupported files, inadequate backups, third-party software, AI output, hardware or storage failure, or instructions you approve. Nothing in this section excludes liability that cannot legally be excluded.
AI features, local models, and BYOK
You choose the AI provider and are responsible for reviewing its identity, endpoint, model, pricing, data practices, and terms.
- A local Ollama, LM Studio, or similar endpoint can keep requests on your device. An endpoint configured on another machine is not necessarily on-device.
- With BYOK, charges by the provider are between you and that provider. We do not control, reimburse, or guarantee those charges.
- A Structor-managed AI plan may have quotas, rate limits, fair-use controls, and model availability disclosed with the plan.
- Remote categorization can disclose file and folder names, extensions, entry types, subfolder names, and folder structure to the selected provider. Do not submit confidential or regulated information unless you are authorized and the provider is suitable.
AI and heuristic outputs are probabilistic and may be incomplete, inaccurate, or unsuitable. Review proposed categories, names, duplicates, and actions before relying on them. AI output is not legal, financial, medical, compliance, archival, or records-management advice. Seraro does not promise that output is unique, error-free, or non-infringing.
Your use of a third-party AI service is also governed by that provider's terms. We are not responsible for a third party's availability, model changes, retention, training, security, content restrictions, or decisions about your account.
Prices, payments, and subscriptions
Prices, currency, billing interval, included features, device limits, taxes, and renewal terms are shown before purchase. You authorize the payment provider displayed at checkout to charge the selected payment method. Except where stated otherwise, fees are due in advance.
For purchases through Creem, Creem acts as merchant of record and contractual seller for payment processing, tax, invoices, and related checkout services. The purchase is also governed by the Creem Buyer Terms presented at checkout. We remain responsible for delivering and supporting Structor. Purchases through Apple, Microsoft, or another marketplace are billed and refunded under that marketplace's applicable rules where those rules control.
Subscriptions renew automatically for the interval and price disclosed at checkout until canceled. We or the payment provider will give any renewal or price-change notice required by law. You can cancel through the available Seraro account billing control, the Creem Customer Portal, or the marketplace used to purchase. Cancellation stops future renewal and normally takes effect at the end of the paid billing period; access continues until then unless the checkout terms or law say otherwise.
Payment failure, reversal, chargeback, refund, expired entitlement, or material breach may suspend paid access. Contact us before initiating a chargeback so we can try to resolve the issue. Fraudulent chargebacks may result in license revocation.
Lifetime and device licenses
A lifetime or permanent license means a perpetual right for the purchaser to use the licensed Structor product version and any updates we choose to include, subject to these Terms, device limits, technical compatibility, and continued lawful operation. It does not promise that we, the Seraro brand, online services, third-party providers, updates, or support will exist for your lifetime, nor does it include a future product sold separately.
A license may initially be provisional during a refund, fraud, or chargeback window and later become permanent. Structor may create a protected device identifier and device key, register activations, and require periodic online validation. You may deactivate or replace devices through available controls, subject to reasonable anti-abuse limits. A license belongs to the purchaser and may not be resold, shared, or transferred unless we give written permission or applicable law requires transferability.
Refund policy
You may request a refund within 14 calendar days of the initial purchase by emailing support@seraro.com from the purchase email and including the order reference. After 14 days, charges are non-refundable except where required by law, the checkout terms, or a written product guarantee. We do not provide partial refunds for an unused portion of a subscription after cancellation unless required by law.
Where permitted by law, if you expressly request activation of a subscription or permanent license before the end of an applicable withdrawal period and acknowledge the resulting loss of that right, supply of the digital entitlement begins when Structor grants you access. Refund eligibility may also be denied where permitted by law in cases of fraud, abuse, repeated refunding, or material violation of these Terms. Mandatory statutory cancellation, withdrawal, conformity, and refund rights remain unaffected.
Refunds are returned through the original payment provider and method. Processing time depends on that provider and your financial institution. A refund terminates the corresponding entitlement; Structor may require device deactivation before the request can be completed. Creem may also issue a refund or handle a chargeback under its buyer terms and merchant-of-record obligations.
Updates, availability, and support
Structor may check for, download, and install updates using the controls available for your operating system or distribution channel. Updates can change or remove features and may be required for security, compatibility, licensing, or continued online-service access. App-store versions are updated through the relevant marketplace where required.
We aim to provide reliable Services but do not guarantee uninterrupted availability. Maintenance, security events, internet failures, third-party outages, operating-system changes, or circumstances beyond reasonable control may cause downtime. Support is provided through support@seraro.com; response times are not guaranteed unless your plan expressly includes a service level.
Acceptable use
You may not use the Services to infringe intellectual-property or privacy rights; access files or systems without authorization; distribute malware; facilitate unlawful surveillance, discrimination, exploitation, or fraud; evade sanctions or export controls; overload the Services; or cause us or a provider to violate law. You remain responsible for the legality of files you manage and AI providers you connect.
We may investigate credible violations and restrict a feature or account when reasonably necessary to protect users, providers, or the Services. We will consider the severity, recurrence, and available alternatives before termination where appropriate.
Feedback and intellectual property
If you voluntarily submit product feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use it without restriction or compensation, provided we do not publicly identify you without permission. This does not grant us ownership of Your Content.
Structor, Seraro, associated logos, and proprietary software and documentation are protected by intellectual-property laws. If you believe content in the Services infringes your rights, contact support@seraro.com with sufficient detail for us to investigate.
Warranty disclaimer
To the maximum extent permitted by law, the Services are provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, satisfactory quality, non-infringement, quiet enjoyment, and warranties arising from course of dealing. We do not warrant that Structor will be uninterrupted, error-free, compatible with every file, filesystem, model, endpoint, or device, or that AI or organization results will meet your expectations.
Some jurisdictions do not allow certain warranty exclusions. Any legally required warranty applies only for its mandatory duration and scope. If a marketplace or law provides a remedy that cannot be disclaimed, that remedy remains available.
Limitation of liability
To the maximum extent permitted by law, Sergii Iarochevskyi and his licensors, contractors, and suppliers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss; lost profits, revenue, business, goodwill, or opportunity; cost of substitute services; or loss, corruption, or inability to restore data, even if advised of the possibility.
To the maximum extent permitted by law, our total aggregate liability arising from the Services or these Terms will not exceed the greater of the amount you paid for Structor during the 12 months before the event giving rise to the claim or EUR 50.
These exclusions and cap do not apply to liability that cannot legally be limited, including where applicable fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or mandatory consumer remedies. You may have additional rights under local law.
Indemnity
If you use the Services on behalf of a business, you will defend and indemnify Sergii Iarochevskyi against third-party claims, losses, and reasonable costs arising from Your Content, your unauthorized or unlawful use, your violation of a third party's rights, or your material breach of these Terms. This business indemnity does not apply to individual consumers to the extent prohibited by law, or to claims caused by us.
Suspension and termination
You may stop using Structor at any time and may cancel subscriptions as described above. Deleting the application does not itself cancel a subscription or delete an Apps Hub account.
We may suspend or terminate access for a material or repeated breach, fraud, security risk, legal requirement, or discontinued Service. Where reasonable, we will give notice and an opportunity to cure. On termination, the license ends except for a vested permanent license not terminated for breach or refund. Terms concerning ownership, payments due, disclaimers, liability, disputes, and provisions that by nature should survive will remain in effect.
App marketplace terms
If you obtained Structor through an app marketplace, its usage rules and mandatory terms also apply. If they conflict with these Terms, the marketplace terms control only to the extent required.
For an Apple-distributed version: these Terms are between you and Sergii Iarochevskyi, not Apple; the license is limited to Apple-branded products you own or control as permitted by Apple's usage rules and Family Sharing; Sergii Iarochevskyi, not Apple, is responsible for the app, maintenance, support, warranties, product claims, legal compliance, and intellectual-property claims; Apple has no obligation to provide support; you represent that you are not in a U.S.-embargoed country or on a prohibited-party list; and Apple and its subsidiaries are third-party beneficiaries entitled to enforce this section. If the app fails an applicable warranty, you may notify Apple for any refund of the app purchase price available under Apple's rules, and Apple has no other warranty obligation to the maximum extent permitted by law.
For a Microsoft Store version: Microsoft is not responsible for Structor or support unless its store terms say otherwise. You must follow the Microsoft Store usage rules, and marketplace-provided billing, cancellation, refund, and license terms control for that purchase.
Governing terms and disputes
Before filing a claim, contact support@seraro.com and give us a reasonable opportunity to resolve it. These Terms are governed by the laws of Poland, without regard to conflict-of-law principles, except that consumers retain mandatory protections and may bring proceedings in the courts permitted by their local law. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
If any provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder will continue. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization or sale while preserving mandatory consumer rights. These Terms, the Privacy Policy, checkout disclosures, and incorporated marketplace or provider terms are the entire agreement for the Services.
Changes to these Terms
We may update these Terms for product, security, provider, or legal changes. We will post the revised Terms and update the date above. If a change materially reduces your rights, we will provide advance notice where required. Changes apply prospectively; continued use after the effective date constitutes acceptance where permitted by law.
